The Sponsor desires to commission design and/or fabrication services performed by IN-MaC staff as outlined below: 1. Term and Termination a) This Agreement shall commence on _________, 202_ and expire on ___________, 202_, unless earlier terminated in accordance with section 1(b) below or as may otherwise be provided in this Agreement. b) This Agreement may be terminated by either party at any time by providing thirty (30) days prior written notice to the other party, whereupon such termination shall become effective upon the expiration of such 30-day period. c) Purdue shall be compensated for services rendered and for ancillary costs incurred prior to the effective date of termination or the date on which this Agreement expires in accordance with its terms. Sponsor shall not be liable for Services performed or costs incurred after such effective date of termination or such date of expiration. 2. Scope During the term of this Agreement, Purdue shall provide to Purdue the services (the Services) which shall be set forth in the Statement(s) of Work (SOW) which will be executed by duly authorized individuals of both Purdue and Sponsor, and numbered sequentially as deemed necessary by Purdue which by reference are made a part of this Agreement. Purdue agrees that, in furnishing the Services it shall be acting as an independent contractor in relation to Sponsor and not as an employee or other agent of Sponsor. Purdue shall have no authority to act for or on behalf of Sponsor or to bind Sponsor without Sponsors prior express written consent. Purdue acknowledges that it is responsible for its own federal, state and local income, social security, unemployment and disability taxes. 3. Financial Support IN-MaC will invoice Sponsor pursuant to the payment schedule set forth on the Statement of Work which is incorporated herein and attached hereto as Appendix A. The invoices shall be due and payable thirty (30) days after receipt. Purdue may charge interest at the rate of one-and-one half percent (1.5%) per month on any amounts owed under this agreement that are not paid in full by the due date. Interest will begin no earlier than the day after the due date and continue until the amount owed is paid in full. In collection of any indebtedness owed Purdue, Purdue shall be entitled to all additional costs referenced in Indiana Code 21-14-2-11, as from time to time amended or re-codified. Expenses associated with collection of indebtedness by means of the Indiana state tax set off program shall be added to the indebtedness. Any judgment entered shall be without relief from valuation and appraisement laws. All returned checks, drafts, or orders are subject to a service charge not exceeding the maximum allowed by Indiana law. 5. Rights in the Work Product Upon payment in full to Purdue, Sponsor shall own all right, title, and interest in and to any Work Product produced by Purdue under this Agreement (Work Product or Deliverables), and Purdue agrees that such Work Product shall be deemed a "work made for hire". Purdue will execute any necessary confirmatory assignments to Sponsor to effectuate the foregoing. "Work Product" and/or Deliverables are defined as all data, documentation, software, information, or other deliverable, in whatever form, produced or created by Purdue in the performance of work or the rendition of services under this Agreement. For clarity, Purdues underlying processes, methods, formulas, procedures and intellectual property utilized in performing the services shall not be considered Work Product and/or Deliverables under this Agreement. 6. Sponsor Confidential Information Confidential Information means Sponsors proprietary samples and all related information provided by Sponsor and generated by Purdue, that is exchanged between Sponsor and Purdue Personnel, in the course of performance of this Agreement. Purdue shall use Sponsors Confidential Information solely in connection with the performance of the services contemplated herein. Sponsor acknowledges that any inquiry by Purdue Personnel directed to or resulting in any copyrightable work, invention, or discovery that is not derived from the Sponsors Confidential Information is outside the scope of the Project and shall not be subject to any obligation of disclosure, assignment, license, or license option to Sponsor. 7. Disclaimer of Warranty 7.1 THE SERVICES, DELIVERABLES AND/OR WORK PRODUCT AND ANY ACCOMPANYING REPORTS ARE PROVIDED TO THE SPONSOR AS IS WITHOUT WARRANTY OF ANY KIND. PURDUE MAKES NO WARRANTY OF ANY KIND TO SPONSOR. (b) The cumulative liability of Purdue to Sponsor for any claim, demand, or action arising out of or relating to this Agreement, the Project, and the Deliverables and/or Work Product shall not exceed the total amount paid to Purdue hereunder. Without limiting the foregoing, except for breach of Section 6, Confidential Information, in no event shall Purdue be liable for any business expense; machine down time; loss of profits; any incidental, special, exemplary, or consequential damages; or any claims or demands brought against Sponsor or Sponsors customers even if Purdue has been advised of the possibility of such claims and demands. The foregoing limitation of liability will survive any termination of this Agreement and will apply without regard to any other provision of this Agreement that may have been breached or have been proven ineffective. 13. Governing Law; Jurisdiction and Venue; Severance This Agreement shall be construed under and governed by the laws of the State of Indiana (without regard to conflict of law rules) and the United States of America. This Agreement and the Project shall at all times be subordinate to federal regulatory requirements for the conduct of research at 鶹Ʒ. This Agreement shall be deemed to have been executed in the State of Indiana, U.S.A. Any justiciable dispute between Purdue and Sponsor shall be determined solely and exclusively under the substantive law of the State of Indiana by a court of competent jurisdiction in Indiana, except as pre-empted byor prohibited by 15 USC 1692i, as hereinafter amended from time to time, other federal statutes, orstate laws and regulations, including consumer protection laws but excluding general preferred venue rules or laws. Each party hereby agrees not to commence any action relating to this Agreement or its performance or breach in any other forum, and each party hereby irrevocably waives any claim or argument that a court in Indiana would lack personal jurisdiction or would constitute an inconvenient forum. 14. Auditing of Records. Purdue will keep complete and accurate records of all matters relating to its performance under this Agreement. All financial and quality and reliability records relating to this Agreement will be maintained according to local regulation. Purdue will retain all such records for at least two (2) years from the date of creation or longer if required by applicable law. Purdue agrees that Sponsor may, upon advance notice, audit and inspect such items in order to verify Purdues compliance with this Agreement. 15. General This instrument contains the entire agreement between the Parties with respect to the subject matter hereof. If Sponsor issues a purchase order or other document to initiate the Project, such Purchase Order shall be for the facilitation of payment to Purdue only. Any terms and conditions contained in such purchase order or other document shall be null void and of no legal effect.
